How to establish and operate an International Business Branch

Registration
The Central Bank of Cyprus requires bank references for the "overseas company" for the establishment of the branch in Cyprus. These references are similar to those for the establishment of an International Business Company as noted above.
International Business branches of a company registered outside Cyprus (overseas company) can be registered in Cyprus upon filing with the Registrar of Companies the following documents translated in Greek:
• A certified copy of the charter, memorandum and articles of association or any other document confirming the constitution of the company
• Particulars of directors and secretary of the company
• The name and address of at least one person resident in the Republic of Cyprus authorized to accept on behalf of the company any notices required to be served on the company

Documents provided to the owners
Upon completion of the registration the following documents properly certified and translated into English are made available to the owners:
• Certificate of registration
• The Charter of the overseas company
• A list of the directors
• The permission of the Central Bank

Management of the branch
Our firm can also administer an International Business Branch in the same way as they can administer an IBC Company as noted above.

Taxation
The profits of the I.B. branch are subject to tax at the rate of 10 per cent if the management and control is in Cyprus. If the management and control of the branch is outside Cyprus then the profits are tax exempt.
